The Suwon District Court ordered nine former and current directors of Samsung Electronics Thursday to pay W90 billion in compensation for the losses that they have allegedly caused to the company through their decisions of taking over non-viable companies and illegally bankrolling sister companies,[link widoczny dla zalogowanych].
The district court's decision came in response to a lawsuit against the Samsung Electronics executives filed by 22 minor shareholders of the company, led by the civic organization People's Solidarity for Participatory Democracy.
The court also ordered Samsung Chair Lee Kun-hee to pay back a total of W7.5 billion in company funds that he had allegedly paid to former President Roh Tae-woo as part of a bribe. Lee,[link widoczny dla zalogowanych], however, came out unscathed from the lawsuit as the court found he did not have a hand in the board decision-making process.
The court said that it ruled in favor of the plaintiff as the duty of Samsung's board of directors is to protect the interests of the company and the shareholders, which it neglected to do.
Kim Suk-yun,[link widoczny dla zalogowanych], the lawyer for the minor shareholders,[link widoczny dla zalogowanych], said the court ruling was significant in that it would deter unfair monopolistic business management by business owners in the future.
The unprecedented court ruling is likely to trigger a grass-roots overhaul of the function of the board of directors, a rubber-stamp body of company executives for most Korean firms,[link widoczny dla zalogowanych], analysts said.
Analysts, however, also argued that if the business executives on the board are to take full responsibility for their management decisions and pay compensation,[link widoczny dla zalogowanych], they are likely to keep a low profile in the company decision-making process in the future, which would ultimately mar proper operation of the company.
Commenting on the decision, Samsung said that the group will honor the initial ruling, pointing out,[link widoczny dla zalogowanych], however,[link widoczny dla zalogowanych], the court ruling could undermine the corporate sector's management efficiency and self-determination. Samsung officials said the group plans to appeal the case where it would point out the difficulties involved in the business decision-making process.
Samsung Electronics,[link widoczny dla zalogowanych], the nation's largest business, is not expected to suffer any monetary losses as the compensation money,[link widoczny dla zalogowanych], once the court decision is honored to the end, are due to be thrown back into the company.
The Samsung executives involved in the case, however, will have to pay W10 billion each in compensation if the ruling goes through. The group said the nine executives and Chair Lee will have to resort to their own private assets to pay the hefty sum as no insurance coverage is available for the case.
Professor Chang Ha-sung of economics at Korea University said the court decision Thursday made it clear that the board members will not be indemnified for their decisions even if such decisions were made at the behest of the business owner,[link widoczny dla zalogowanych].

Korea Digital Broadcasting (KDB),[link widoczny dla zalogowanych], a consortium of Korea Telecom and Korea's three major broadcasting companies, has won out over Korea Satellite Broadcasting (KSB) in the government's selection of the company that now gets to engage in satellite broadcasting. This brings an end to,[link widoczny dla zalogowanych], depending on how you measure it,[link widoczny dla zalogowanych], either four years or eight months of maneuvering for this privilege. Still, there will remain debate as to whether this was the best possible selection for the broadcasting climate of the future.
For starters, much about the decision seems to have been influenced by intense competition from potential participants, or at least more so than by consideration for the long term vision and strategy one would want to expect of anything of national importance and requiring a massive amount of funds. The Broadcasting Committee at first proposed a grand consortium, but when the competition got hot it chose to go for selection by comparison. This might allow one to judge the finances and technical know-how of applying companies,[link widoczny dla zalogowanych], but it makes it hard to measure how choices will affect the whole of the media industry and whether a company possesses the international competitiveness expressed in its philosophy and understanding of the business.
KDB was selected because it has "public awareness and the ability to provide stable contents,[link widoczny dla zalogowanych]," but this part of the judgement will eventually be criticized for having been a superficial examination. One of the greatest tasks before the broadcasting industry since democratization is independence from government and politics. The idea is to guarantee the rights of viewers by breaking free from regulations and the state apparatus. The problem is that Korea Telecom is KDB's majority shareholder,[link widoczny dla zalogowanych], and it's a state owned corporation. The Korean Broadcasting System (KBS) and Mugunghwa Broadcasting Corporation (MBC) are also major shareholders, and they're publicly owned,[link widoczny dla zalogowanych], too. When a state owned corporation and the largest broadcasters come to monopolize satellite broadcasting, it will never be free from state control.
The monopoly problem becomes an even bigger problem in the case of Korea Telecom. It has already won the rights to participate in the IMT 2000 business; with this latest decision it now becomes a dinosaur-size monopoly controlling both the communications and the satellite broadcasting industries. This not only goes against the global spin-off trend,[link widoczny dla zalogowanych], it increases the potential burden for the country at a time when Korea Telecom's privatization remains unclear. It is also inappropriate for KBS to be so obsessed with satellite broadcasting at a time when it is trying to lead the way in future broadcasting technology and development while working to be more serving of the public and more publicly owned.
The idea that the three major broadcaster's will be better able to provide "stable contents" is anachronistic thinking. Together they may be able to fill satellites with the contents they already produce with the systems they have in place,[link widoczny dla zalogowanych], but competitiveness of quality remains an uncertain variable. In order to be used as a core media tool in the 21st century, satellite broadcasting needs contents fitting for the digital age. The producers best fit for such a mission are not the broadcasters of Yeouido, but independent producers. Opening the door to these independent producers would help provide diverse genres of quality content,[link widoczny dla zalogowanych], and this will be the only way to speak Korean in a sea of foreign programming. Satellite broadcasting will send shock waves in ways still unimagined,[link widoczny dla zalogowanych], and half victories like we've had so far will not suffice for a complete mobilization of existing know-how and a plan of vision. There should not be a repeat of the cable television selection fiasco, for then,[link widoczny dla zalogowanych], too, there was much talk about a transparent selection process.
